• Upload, transmit, or distribute any viruses, malware, or other harmful computer code through the Site;

Wing Snob reserves the right to investigate and take appropriate legal action against any person who, in Wing Snob's sole discretion, violates this provision, including reporting such users to law enforcement authorities and terminating their access to the Site.

5. Ordering and Payment Terms

When you place an order through snobwing.rest, you are making an offer to purchase the Products selected at the prices indicated. All orders are subject to acceptance by Wing Snob, and we reserve the right to refuse or cancel any order at any time for reasons including, but not limited to, product availability, errors in pricing or product information, or suspected fraudulent activity.

5.1 Pricing and Taxes

All prices listed on the Site are in United States Dollars (USD) and are subject to change without notice. Prices do not include applicable taxes, which will be calculated and added to your order total at checkout based on applicable federal, state, and local tax laws. Wing Snob strives to ensure pricing accuracy but reserves the right to correct any pricing errors, even after an order has been placed.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for your personal, non-commercial use in connection with ordering food products from Wing Snob. This license does not include:

• Any resale or commercial use of the Site or its contents;
• Any collection and use of any product listings, descriptions, or prices;
• Any derivative use of the Site or its contents;

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WING SNOB, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your use of or inability to use the Site or services;
• Any unauthorized access to or use of our servers or any personal information stored therein;
• Any interruption or cessation of transmission to or from the Site;
• Any bugs, viruses, or other harmful code transmitted through the Site by any third party;
• Any errors or omissions in any content posted, emailed, transmitted, or otherwise made available through the Site;
• Any food products ordered, consumed, or otherwise obtained through the Site.

IN NO EVENT SHALL WING SNOB'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO WING SNOB IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

The limitations of liability set forth above shall apply regardless of the legal theory under which such damages are sought, whether in contract, tort, negligence, strict liability, or otherwise, and even if Wing Snob has been advised of the possibility of such damages.

10. Indemnification

You agree to defend, indemnify, and hold harmless Wing Snob, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns (collectively, "Indemnified Parties") from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms;
• Your use of the Site, including any data or content transmitted or received by you;
• Your violation of any rights of another party, including any intellectual property rights or privacy rights;
• Your violation of any applicable law, rule, or regulation, including any applicable federal, state, or local food safety laws;
• Any content or information submitted by you through the Site;
• Any fraudulent, deceptive, or illegal activities conducted by you.

Wing Snob reserves the right, at its own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you. In that event, you agree to cooperate with Wing Snob's defense of such claim. You may not settle any claim subject to indemnification without the prior written consent of Wing Snob.

11. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or related to these Terms, their subject matter or formation (including non-contractual disputes or claims), or your use of the Site or services shall be governed by and construed in accordance with the laws of the United States and the applicable laws of the state in which Wing Snob is registered and operates, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the state in which Wing Snob is domiciled. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Wing Snob operates in compliance with applicable United States federal laws, including but not limited to the Federal Trade Commission Act (15 U.S.C. § 41 et seq.), the Electronic Communications Privacy Act, the Computer Fraud and Abuse Act, the CAN-SPAM Act, applicable state consumer protection laws, and applicable state and local food safety regulations, including those enforced by the U.S. Food and Drug Administration (FDA) and the U.S. Department of Agriculture (USDA).

To the extent Wing Snob serves customers in the State of California, we also comply with the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA), the California Consumer Legal Remedies Act, and other applicable California consumer protection laws. California residents may have additional rights regarding their personal information, which are described in our Privacy Policy.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Site informally by contacting Wing Snob at [email protected]. Wing Snob will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within thirty (30) days after submission, either party may bring formal proceedings.

12.2 Binding Arbitration

EXCEPT AS EXPRESSLY PROVIDED BELOW, YOU AND WING SNOB AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF, OR THE USE OF THE SITE OR SERVICES, SHALL BE RESOLVED SOLELY BY BINDING ARBITRATION ON AN INDIVIDUAL BASIS.

The arbitration shall be conducted by a nationally recognized arbitration organization such as the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules then in effect. The arbitration shall be conducted in the state where Wing Snob operates, unless both parties agree to conduct it via phone or video conference. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AND WING SNOB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of a representative or class proceeding.

12.4 Exceptions to Arbitration

Notwithstanding the above, either party may seek emergency equitable relief from a court of competent jurisdiction to prevent irreparable harm pending the completion of arbitration, and either party may bring individual claims in small claims court if the claims qualify under the applicable small claims court rules.

13. Term and Termination

These Terms shall remain in full force and effect while you use the Site or maintain an account with Wing Snob. Wing Snob reserves the right, in its sole discretion, to:

• Terminate or suspend your access to all or part of the Site for any reason, including without limitation, breach of these Terms;
• Terminate or suspend your account without prior notice or liability;
• Delete any content or information that you have posted on the Site;
• Discontinue the Site or any part thereof at any time without notice.

You may terminate your account at any time by contacting us at [email protected] with a request for account deletion. Upon termination of your account, your right to use the Site will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive, including without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. Termination of your access to the Site does not relieve you of any obligations that arose prior to the termination.

However, any changes to the dispute resolution provisions set forth in Section 12 will not apply to any disputes for which the parties have actual notice on or before the date the change is posted on the Site.

The parties agree to replace any invalid, illegal, or unenforceable provision with a valid provision that most closely approximates the intent and economic effect of the invalid provision.

17. Entire Agreement and Waiver

These Terms of Service, together with the Privacy Policy and any other legal notices or policies published by Wing Snob on the Site, shall constitute the entire agreement between you and Wing Snob concerning the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Site.

No waiver by Wing Snob of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Wing Snob to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. Wing Snob shall not be liable or responsible to you, nor be deemed to have defaulted or breached these Terms, for any failure or delay in fulfilling or performing any of our obligations under these Terms when and to the extent such failure or delay is caused by or results from acts or circumstances beyond our reasonable control, including, without limitation, acts of God, fire, flood, earthquake, natural disasters, war, terrorism, riots, civil unrest, government actions, epidemics or pandemics, labor disputes, utility or Internet service failures, supply chain disruptions, or any other event beyond our reasonable control.
